This organization is the passive parent of the long island college hospital, which is a TAX exempt organization. There is no direct activity conducted by this entity. It has no revenue, expenses or employees. On september 30, 2013, the filing organization's member hospitals were part of a transaction that affiliated them with the mount sinai health system with the exception of the long island college hospital ("LICH"). The remaining member entity of the filing organization is LICH, which as of may 2011, ceased operations as a hospital when it closed on an asset purchase agreement ("APA") with the state university of NY at downstate. In accordance with the APA, LICH retained cash and patient receivables in order to pay DOWN accounts payable and accrued expenses, which also remained at LICH. The organization continues to support LICH as appropriate in connection with this. This corporation is not a hospital or a facility providing health-related service and will not solicit contributions
