The 1504 Modernization Act requires the Securities and Exchange Commission to establish new rules within 270 days requiring companies engaged in resource extraction to disclose all payments made to foreign governments and other entities to conduct their operations. The disclosure requirements apply to companies extracting oil, natural gas, minerals, timber, and other natural resources, and expand to include payments to foreign governments at any level as well as payments to criminal networks or groups without legitimate governance authority. Companies must report payments on a project-by-project basis rather than in aggregate form, include all material benefits and non-monetary exchanges, and submit information in a standardized electronic format that the public can access online. The bill affects any U.S. publicly traded company engaged in resource extraction activities, regardless of size, and aims to increase transparency and combat corruption by allowing investors and foreign citizens to track revenues from natural resource exploitation. The legislation authorizes appropriations as needed to implement these new reporting requirements.
