RH-wisconsin provides governance oversight of westfields hospital (westfields), hudson hospital (hudson), and amery regional medical center (ARMC). RH-wisconsin appoints a majority of the boards of directors, approves the annual operating and capital budgets, and approves amendments to the articles of incorporation and bylaws and other actions enumerated in the hospitals' bylaws that may substantially affect operations. RH-wisconsin also coordinates care provided by group heaith plan, INC (GHI) at these hospitals. GHI provides primary care physician staffing and certain specialty physician staffing to these hospitals and their hospital-based clinics, which is necessary for the successful operation of these entities and their provision of health care for the benefit of the community.RH-wisconsin is recognized as a supporting organization under IRC section 509(a)(3). As such, RH-wisconsin's activities are directly related to the exempt purposes of its supported organizations.
